Evernorth Holdings filed an S-4 amendment with the SEC after finalizing employment agreements with three senior executives, moving closer to its merger with Armada Acquisition Corp II.
The agreements include a $4.5 million initial equity award for Chief Legal Officer Jessica Jonas and $2.8 million awards for Chief Business Officer Sagar Shah and Chief Operating Officer Meg Nakamura, the filing shows. Each executive will receive a 50% annual bonus of their base salary, along with restricted stock units and employee benefits governed by Evernorth's 2026 Omnibus Incentive Plan.
The firm raised over $1 billion in committed capital from investors including Ripple, SBI Holdings, Pantera Capital and Kraken. Evernorth holds roughly 473 million XRP acquired at an average cost near $2.54, against a token price near $1.10, an unrealized deficit above 50%. The company recorded a $38.4 million impairment in its 2025 accounts reflecting the decline.
The SPAC merger would create the largest publicly traded XRP treasury under the ticker XRPN on Nasdaq. Shareholders of Armada Acquisition Corp II hold redemption rights that could shrink the vehicle's cash, with pro forma cash already revised from roughly $1.1 billion to $870 million across amended filings.
Ripple contributed roughly 127 million XRP to the vehicle, placing the token's issuer as a large holder in the combined company. The board includes Ripple Chief Legal Officer Stuart Alderoty, Chief Executive Officer Asheesh Birla, Ted Janus, OpenAI Foundation Chief Financial Officer Robert Kaiden and Antalpha Chief Operating Officer Derar Islim.
XRP traded at $1.07 as of Thursday, down 2% in the past 24 hours and 5% over the past week. The token has fallen about 65% over the past year. Five spot XRP ETFs hold $997 million between them on $1.49 billion of cumulative inflows, with flows decayed roughly 99% from launch, according to CoinGecko data.
The merger faces a shareholder vote where Armada's public holders can choose between cash at trust value or equity in the combined company. High redemptions would shrink the listed entity's scale, limiting its ability to raise capital accretively. The redemption figure at closing will determine whether Evernorth lists as a billion-dollar vehicle or a fraction of one.
