IMC Rare Earths Ltd priced its initial public offering at $5 per share, raising $20 million as the Brazil-focused magnet rare earth explorer becomes the latest critical minerals company to tap US public markets amid a Western push to break China's dominance in the supply chain.
"The offering provides IMC with the capital to advance exploration and development of our Itarantim ionic adsorption clay rare earth deposit," the company said in a statement. The project spans the States of Bahia and Minas Gerais in Brazil, a jurisdiction that has attracted growing mining investment.
The Cayman Islands-incorporated company sold 4 million ordinary shares on a firm commitment basis, with Roberts & Ryan Inc. acting as representative of the underwriters and Revere Securities LLC as co-underwriter. Underwriters received a 45-day option to purchase up to 600,000 additional shares at the offering price to cover over-allotments. The registration statement on Form F-1 was declared effective by the Securities and Exchange Commission on July 28.
IMC's listing arrives as Western governments accelerate efforts to build non-Chinese rare earth supply chains for neodymium and dysprosium — metals essential to EV motors, wind turbines, guided weapons, and AI data center power modules. China controls the majority of global rare earth processing, a vulnerability that has spurred policy action from Washington to Brasilia.
The company's Itarantim Project is an ionic adsorption clay deposit, a type that typically offers lower processing costs compared with hard-rock mining. IMC joins a cohort of rare earth developers that have raised capital through public markets this year, including USA Rare Earth, which closed a $1.5 billion PIPE financing in January, and MP Materials, which operates the Mountain Pass facility in California under a Department of Defense-backed $110 per kilogram neodymium-praseodymium price floor.
Roberts & Ryan, the lead underwriter, is America's first Service-Disabled Veteran-Owned broker-dealer, founded in 1987. The firm has committed more than $2.5 million to organizations supporting veterans and their families.
IMC's ordinary shares are expected to begin trading on NYSE American on July 29 under the ticker symbol IMC, with the offering closing on or about July 30 subject to customary conditions. The company maintains its global headquarters and principal executive office in Sao Paulo, Brazil.
