Zerostack's crypto holdings hit $1.06 billion after a $1.028 billion MemeCore token purchase that now faces a 167% dilution vote.
The Nasdaq-listed AI treasury firm acquired 925,925,926 MemeCore tokens ($M) at $1.08 each on Aug. 19, paying with 3.5 million common shares and pre-funded warrants covering approximately 36.2 million additional shares, according to its Form 8-K and S-3 resale registration filed with the SEC.
The warrant shares, priced at a $25.19 strike, cannot be issued until shareholders approve issuance above a 19.99% share cap under Nasdaq Listing Rule 5635. Zerostack reported 21,624,341 shares outstanding as of Aug. 19, meaning the warrant block equals 167.4% of the current base. If all warrants are exercised, outstanding shares would rise to 57,822,635.
The stock trades at $4.71, a 74% discount to the $18.19 implied asset value per share on a partially diluted basis. MemeCore makes up roughly 97% of the portfolio by value, with the remainder in approximately 223.8 million 0G tokens valued at $36 million that the company stakes to fund operations. No date has been set for the shareholder vote.
The dilution math
The deal was structured as an equity swap with contributors Puple AI Inc. and Blockcat Pte. Ltd. Each is registered to resell up to 19,849,147 shares, comprising 1.75 million issued shares and 18,099,147 approval-gated warrant shares. The broader S-3 filing covers 54,609,992 shares across seven holder groups, including CEO Daniel Reis-Faria, Executive Chairman Michael Heinrich, CFO Dany Vaiman, Hack VC Management-related funds, and Zero Gravity Labs.
The warrant strike price of $25.19 sits more than 12 times above the stock's $4.71 trading level, a gap that raises questions about whether the warrants will ever be exercised at their stated terms. Only the warrant shares, not the initial 3.5 million issued shares, carry a lockup of up to 10 years, though Zerostack says the restriction can be waived by mutual written consent.
Zerostack's 0G position has grown substantially since June 30, when it held 75.1 million tokens carried at a fair value of approximately $15.2 million after markdowns. The current 223.8 million tokens valued at $36 million are staked to generate rewards that fund day-to-day operations. Tokens are secured in multi-signature wallets requiring multiple independent approvals before funds can move.
The company describes itself as a decentralized AI treasury vehicle, accumulating digital assets tied to AI and decentralized infrastructure rather than holding cash or conventional assets. The 74% discount to implied asset value suggests the market is pricing in risk around the MemeCore position's liquidity and the pending dilution vote. If shareholders reject the warrant issuance, the company's share count stays at current levels but the counterparties' ability to monetize their position becomes constrained. If approved, existing holders face a 167% dilution that would cut their proportional ownership by more than half.
