Autozi's Hong Kong unit intends to acquire a significant SpaceX-linked position as a strategic treasury asset, a move that would place the Nasdaq-listed auto services firm among a small group of public companies with disclosed exposure to the private space giant.
Autozi Internet Technology (Global) Ltd. said its Hong Kong subsidiary intends to acquire a significant position providing economic exposure to SpaceX, to be held as a strategic treasury asset, sending shares up 2.8 percent to $1.54 on Monday.
"SpaceX represents one of the most influential innovation platforms of our generation, spanning space transportation, satellite connectivity and next-generation infrastructure," Houqi Zhang, chief executive officer of Autozi, said. "We believe that obtaining meaningful economic exposure to SpaceX through Autozi HK, if completed on acceptable terms, would represent a compelling strategic treasury opportunity for Autozi and its shareholders."
The proposed position would be acquired through an established fund or similar investment structure, with Autozi HK evaluating financing alternatives including secured arrangements backed by the underlying position. The transaction remains subject to due diligence, negotiation of definitive agreements, financing availability, board approval and other customary conditions. Autozi's market capitalization stands at $3.78 million, with shares trading between $1.45 and $1.70 on the day.
If consummated, the deal would establish a dedicated SpaceX-linked treasury position and place Autozi among a limited number of Nasdaq-listed companies with disclosed economic exposure to the private space transportation and satellite company. The company said any final structure would be designed to preserve financial flexibility while allowing shareholders to benefit from potential long-term appreciation in the underlying position.
A Micro-Cap's High-Stakes Pivot
The announcement marks Autozi's latest attempt to broaden its investment profile after a turbulent year on the Nasdaq. The Beijing-based automotive lifecycle services platform, which provides new cars, auto parts, insurance-related services and maintenance through online and offline channels, has faced repeated compliance challenges. In March, it received a Nasdaq deficiency notice after its market value of listed securities fell below $50 million for 30 consecutive business days, and it executed a 10-for-1 share consolidation to address minimum bid price requirements.
The company's financial trajectory has been uneven. In its first-half fiscal year earnings reported May 29, revenue declined 63.1 percent year over year while net losses widened 163.5 percent, sending shares down 5 percent. More recently, a June 24 financing agreement providing up to $5.25 million in gross proceeds triggered a 73.7 percent one-day rally, demonstrating the market's sensitivity to capital-raising news from the micro-cap.
Autozi's prior investment commitments have also drawn mixed reactions. A March 10 announcement of the first tranche of a $30 million investment from a broader $110 million equity commitment was met with a 10.7 percent decline, while the subsequent share consolidation in mid-March coincided with a 36.4 percent drop.
The proposed SpaceX exposure carries significant execution risk. The company has not disclosed the size of the intended position, the specific fund structure, or the terms of any secured financing. No advisors have been named. Autozi said it will provide additional details in SEC filings if and when definitive agreements are executed.
For a company with a $3.78 million market cap, the strategic rationale hinges on whether the SpaceX-linked position can meaningfully move the balance sheet. SpaceX is not publicly traded, making indirect exposure through funds one of the few avenues for listed companies to gain economic participation. Autozi said it expects to preserve financial flexibility while allowing shareholders to benefit from potential long-term appreciation in the underlying position.
The company cautioned that no assurance can be given that Autozi HK or the company will enter into definitive agreements, obtain financing, or complete the proposed transaction.
