Zhongji Innolight plans to offer H-shares at up to HKD1,010 each, a 13.2% discount to its A-share close, in a deal that could raise USD8 billion.
"The participation of global asset managers including BlackRock and Temasek shows strong institutional demand for high-quality Chinese tech listings," a person familiar with the matter said.
The base offering size is about USD7 billion, with an over-allotment option that could increase the final size to USD8 billion, sources said. Cornerstone investors — including BlackRock, Hillhouse Capital, Temasek, JP Morgan Asset Management, Wellington Management, Yunfeng Capital and Aspex Management — are expected to subscribe for nearly half of the shares. The company plans to start accepting investor subscriptions as early as Wednesday.
The deal could become Hong Kong's largest equity offering in seven years, surpassing most recent mega-listings. Zhongji Innolight, one of China's three largest optical module makers, is seeking a dual listing as demand for AI-related networking components surges globally.
The pricing gives the company a valuation that represents a discount to its Shenzhen-listed shares, which closed at about HKD1,164 equivalent on Monday. The company did not disclose its proposed ticker, listing date, or use of proceeds breakdown.
Optical modules are critical components in data center infrastructure, transmitting signals between servers in AI computing clusters. Zhongji Innolight competes with Coherent Corp. and Lumentum Holdings in the global optical transceiver market, which is expanding as hyperscale cloud providers ramp up AI data center buildouts.
The IPO's success will test investor appetite for Chinese tech listings in Hong Kong after a prolonged drought in large-scale equity offerings. A fully exercised greenshoe would make this the territory's biggest share sale since 2018.
The pricing gives Zhongji Innolight an enterprise value that will be tested against sector peers such as Coherent and Lumentum when trading begins. Investors will watch the final subscription level and first-day trading performance to gauge institutional demand for Chinese AI infrastructure plays.
