A shareholder class action lawsuit was filed May 27 against AeroVironment Inc. (AVAV) in the US District Court for the Northern District of Georgia, alleging the defense contractor misled investors about competition risks tied to its work on the US Space Force's Satellite Control Network modernization.
"The company failed to disclose that AeroVironment would imminently face competition from other vendors for work performed in connection with the Satellite Communication Augmentation Resource program," the complaint states. Holzer & Holzer LLC, the firm that filed the suit, is seeking class certification to represent investors who purchased AeroVironment securities during the putative class period.
AeroVironment, a Virginia-based manufacturer of unmanned aircraft systems and defense electronics, has been a key contractor for the Space Force's Satellite Control Network, which manages communications for military satellites. The lawsuit alleges that company executives understated the likelihood that rival vendors would compete for work under the Satellite Communication Augmentation Resource program, a critical component of the network's modernization.
The case centers on whether AeroVironment's public statements about its competitive positioning for the Space Force contract were materially false or misleading. If the plaintiffs prevail, the company could face significant damages tied to the decline in its stock value once the competition risk became known. AeroVironment has not yet filed a response to the complaint, and no hearing date has been set.
The lawsuit adds legal uncertainty for AeroVironment at a time when defense contractors face heightened scrutiny over government contract disclosures. Investors will watch for the company's next quarterly filing and any updates on the Space Force program's competitive bidding process.
