New Fortress Energy Inc. will consolidate every 50 Class A shares into one, halting trading before 8:00 p.m. Eastern Time on September 10, 2026 and resuming on a split-adjusted basis under a new CUSIP.
The Nasdaq Global Select Market listing will carry the existing ticker "NFE" with CUSIP 644393308, the New York-based LNG infrastructure company said in a statement. The company said the consolidation is intended to help it regain compliance with the exchange's minimum bid price requirement for continued listing.
The split was approved by stockholders at the 2026 Annual Meeting on June 17, 2026. Had it been implemented as of July 31, 2026, outstanding Class A shares would have fallen from roughly 285,634,650 to about 5,712,693, before adjustments for fractional shares. Authorized share count and the $0.01 par value are unchanged.
No fractional shares will be issued. Holders entitled to a fraction will receive a cash payment from Equiniti Trust Company LLC, the transfer agent. Share counts underlying stock options, restricted stock units and other convertible securities, along with their exercise and conversion prices, will be adjusted proportionately.
The company attached a condition to the whole exercise: the split is "subject to and contingent upon the completion of the Company's ongoing restructuring transaction." New Fortress has been working through a creditor-led restructuring that has already produced a UK plan approval in June 2026 and court clearance to convene plan meetings in May 2026. In May, the company sought a 90% debt reduction under that process, according to GuruFocus.
The compliance motive carries its own read-through. New Fortress's own risk disclosures warn that the split "may not result in a sustained increase in the per share trading price" of the Class A stock, that it "may decrease the trading liquidity" of those shares, and that it "may not result in the Company regaining compliance with Nasdaq's minimum bid price requirement." A reverse split changes the share count and the quoted price; it does not change market capitalization.
The stock has been under pressure well before the split. Shares fell 6.20% on the September 10 announcement, after dropping 15.08% on the June 18 UK restructuring approval and 7.16% on the May 14 report of the 90% debt-cut proposal. New Fortress hit 52-week lows in late August alongside AppLovin and Array Technologies, according to Stocktwits. MarketWatch named the stock among 16 short-seller targets in March 2026.
For holders, the mechanical effect is a roughly 50-fold increase in the quoted share price with no change in the value of the position, minus cash paid out on fractional shares. The liquidity warning matters more than the price arithmetic: a share count near 5.7 million is thin for a Nasdaq Global Select listing, and thinner float can widen spreads and raise the cost of exiting a position. Derivative contracts and equity awards reprice on the same ratio, so option holders should expect adjusted strike prices and contract multipliers rather than a change in economic exposure.
The next checkpoint is the restructuring transaction itself. The split cannot take effect until that closes, and the company has not disclosed a completion date. Investors will also watch whether the post-split price holds above $1.00 long enough to satisfy Nasdaq's minimum bid price test, the condition the consolidation was designed to address.
