A securities fraud class action has been filed against Rackspace Technology after its shares plunged 33.6% on July 9, wiping out $2.21 per share.
Bleichmar Fonti & Auld LLP, which announced the case, said the complaint alleges Rackspace misled investors about its AI efforts and their impact on the company's financial performance.
Rackspace cut its full-year 2026 revenue guidance by $150 million and its Private Cloud revenue outlook by $25 million on July 9, citing a "transition away" from certain revenue-generating segments to fund AI investments. The stock fell from $6.58 to $4.37 per share.
The case, captioned Morgan-Reed v. Rackspace Technology, No. 26-cv-6491, asserts claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934. Investors have until September 28 to seek lead plaintiff appointment.
According to the complaint, Rackspace signed a memorandum of understanding with Advanced Micro Devices to build AI infrastructure and reaffirmed its full-year revenue guidance the same day. The company told investors the AMD partnership "give[s] [the Company] confidence in the full year Private Cloud growth profile."
In truth, the complaint alleges, Rackspace's AI efforts required significant re-prioritization of capacity away from revenue-generating segments, including its profitable Private Cloud business. The company was also losing customers to cloud hyperscalers such as Amazon Web Services and Microsoft Azure.
The DJS Law Group separately announced the case, noting the class period runs from May 7 to July 8, 2026. The firm said Rackspace shifted resources away from its Private Cloud segment, moving capital and staff away from the profitable business to drive AI growth.
Rackspace operates physical infrastructure to host cloud services and artificial intelligence workloads, providing a portfolio of AI services to help organizations scale AI adoption. The company's Private Cloud segment has been a key revenue driver, making the resource shift particularly significant for investors.
The 33.6% decline puts Rackspace at its lowest level since the company's AI pivot began. The September 28 lead plaintiff deadline will determine who leads the case, and any subsequent court proceedings will shape the trajectory of investor recovery efforts.
