Silvercorp Metals Inc. filed to list its shares on the Hong Kong Stock Exchange in a bid to access Asian capital markets, the company announced Monday, a strategic move that follows a fiscal year where it generated approximately $438.1 million in revenue.
"The Company's strategy is to create shareholder value by... ongoing merger and acquisition efforts to unlock value," Silvercorp stated in its official press release, framing the listing as part of its growth strategy.
The Vancouver-based miner, already trading on the TSX and NYSE American under the ticker SVM, is pursuing a triple primary listing on the exchange's Main Board alongside a global offering of new shares. The filing comes after a period of active financing, including securing a RMB1.5 billion (about $220 million) syndicated term loan in April. Despite the news, Silvercorp shares fell 3.27% to $11.83 in the latest session, a move that was more pronounced than peers like MAG Silver, which declined 1.96%.
A successful listing would give Silvercorp access to a deep pool of international and Hong Kong-based investors, potentially boosting liquidity and providing an alternative platform for future capital raising. However, the company cautioned there is no assurance the listing will proceed, as it remains subject to approvals from the Hong Kong Stock Exchange and prevailing market conditions.
Regulatory Hurdles
The proposed global offering of shares will not be qualified by a prospectus in Canada and faces restrictions in the United States. The shares have not been, and will not be, registered under the U.S. Securities Act of 1933. They will be offered and sold only outside the United States to non-U.S. persons, in reliance upon Regulation S under the Securities Act.
